The Beneficial Ownership Information (BOI) report, once a nationwide requirement for small businesses, was officially scrapped by the US Treasury Department on March 21, 2025. From that date forward, only foreign businesses must file a BOI.
Yet months later, mailboxes are still being hit with “urgent” BOI filing reminders.
These aren’t government notices, they’re unsolicited marketing blasts (spam) from private companies with official-sounding names. Their emails (sample below) suggest your business must act, when in reality they’re selling unnecessary services.

After a year of flip-flopping BOI rules, it’s no wonder some business owners are second-guessing the fine print.
But here’s the summary: if you run a small US-based business, you do not need to file a BOI report.
